By accessing or using the Moirai platform ("Service"), operated by Moirai Health Pty Ltd (ABN pending) ("Moirai", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a medical practice, healthcare organisation, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes.
To use the Service, you must create an account by providing accurate, current, and complete information. You agree to update your registration information to keep it accurate and current at all times.
Each individual may maintain only one account. Accounts are non-transferable. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at support@moirai.health if you become aware of any unauthorised use of your account.
We reserve the right to suspend or terminate accounts that contain inaccurate information, are used in violation of these Terms, or remain inactive for an extended period.
Moirai offers the following annual subscription tiers: Growth ($12,000 AUD/yr), Scale ($36,000 AUD/yr), Network ($96,000 AUD/yr), and Enterprise (from $180,000 AUD/yr, subject to custom agreement). The AI Governance Gap Assessment is $4,990 AUD once. All prices are exclusive of GST unless otherwise stated.
Sales-led subscriptions. Subscription checkout is currently sales-led while annual Stripe products are being created. Practices may request an annual contract or purchase a paid assessment where available.
Billing Cycle. Subscriptions are billed annually in advance unless a custom contract states otherwise. All fees are non-refundable except as expressly stated in these Terms or as required by Australian Consumer Law.
Auto-Renewal. Your Subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. You may cancel your Subscription at any time through your account settings or by contacting us.
Price Changes. We may change our pricing at any time. We will provide at least 30 days prior written notice of any price changes via email to the primary account holder. Price changes take effect at the start of the next billing cycle following the notice period.
Permitted Uses. The Service is designed for clinical AI governance, compliance tracking, evidence management, policy documentation, audit preparation, and related activities. You may use the Service solely for these intended purposes and in accordance with all applicable laws, including the Privacy Act 1988 (Cth), the Australian Privacy Principles, and relevant state and territory health records legislation.
Prohibited Uses. You must not:
You retain all ownership rights in the Content you upload to or create within the Service. Moirai does not claim ownership of your Content.
By using the Service, you grant Moirai a limited, non-exclusive, worldwide licence to process, store, and display your Content solely for the purpose of providing and improving the Service. This licence terminates when you delete your Content or when your account is terminated, subject to reasonable backup and archival periods.
You are solely responsible for the accuracy, completeness, and legality of your Content. You represent and warrant that you have all necessary rights and permissions to upload and use your Content within the Service.
The Clinical AI Oversight Specification (CAIOS) is an evidentiary framework designed to assist healthcare practices in documenting and demonstrating responsible AI governance. CAIOS is under review and maintained by Moirai.
Not Legal Advice. The CAIOS framework, and the Service generally, do not constitute legal, medical, or regulatory advice. The Service is an information management and governance infrastructure. You should obtain independent legal, clinical, and regulatory advice appropriate to your jurisdiction and circumstances.
Assurance Review. Assurance Review, where offered, represents an advisor review of your practice's governance documentation against the CAIOS framework at a point in time. It does not guarantee compliance with any particular law, regulation, or standard, and does not guarantee any particular outcome in legal, regulatory, or insurance proceedings.
Moirai makes no representation or warranty that use of the Service or completion of an Assurance Review will satisfy the requirements of the Therapeutic Goods Administration (TGA), the Australian Health Practitioner Regulation Agency (AHPRA), the Royal Australian and New Zealand College of Radiologists (RANZCR), or any other regulatory body.
The Service, including its user interface, software, algorithms, documentation, the CAIOS framework, branding, and all related intellectual property, is owned by Moirai Health Pty Ltd and is protected by Australian and international copyright, trademark, and other intellectual property laws.
Your Subscription grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for the duration of your Subscription. No other rights are granted, whether by implication, estoppel, or otherwise.
You retain ownership of your governance data, policies, evidence records, and other Content as described in Section 6.
We process personal information in accordance with our Privacy Policy, which forms part of these Terms. Enterprise customers may enter into a separate Data Processing Agreement (DPA) upon request.
All Service data is stored and processed within Australia, in the AWS ap-southeast-2 (Sydney) region, using Supabase as our database provider. We do not transfer your data outside of Australia without your prior written consent, except where required for the operation of specific sub-processors disclosed in our Privacy Policy.
We implement industry-standard technical and organisational measures to protect your data, including encryption at rest and in transit, row-level security, access controls, and regular security audits.
We strive to maintain high availability of the Service. For Practices on the Scale and Enterprise plans, we target 99.9% uptime measured on a monthly basis, excluding scheduled maintenance windows. Specific service level commitments and remedies are detailed in the applicable service level agreement provided to Scale and Enterprise customers.
The Growth plan does not include a service level agreement. We will use commercially reasonable efforts to maintain availability but make no guarantees.
Scheduled Maintenance. We will provide at least 48 hours notice of scheduled maintenance that may affect Service availability. Where possible, maintenance will be performed during off-peak hours (AEST).
We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of any material changes to the Service.
To the maximum extent permitted by law, including the Competition and Consumer Act 2010 (Cth) and the Australian Consumer Law:
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Australian law, including liability for fraud, personal injury caused by negligence, or guarantees under the Australian Consumer Law that cannot be excluded.
You agree to indemnify, defend, and hold harmless Moirai Health Pty Ltd, its directors, officers, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
Termination by You. You may terminate your Subscription at any time by providing 30 days written notice or by cancelling through your account settings. Termination takes effect at the end of the current billing cycle.
Termination by Moirai. We may terminate or suspend your account immediately upon written notice if you materially breach these Terms, including failure to pay fees when due. For non-material breaches, we will provide 30 days written notice and an opportunity to cure the breach.
Effect of Termination. Upon termination, your right to access the Service will cease. You will have 30 days from the effective date of termination to export your Content using the Service's export functionality. After this 30-day period, we may delete your Content in accordance with our data retention policies. We will not be liable for any loss of Content after the export period has expired.
Sections 6, 7, 8, 11, 12, 14, and 16 survive termination of these Terms.
These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. You irrevocably submit to the exclusive jurisdiction of the courts of New South Wales, and any courts of appeal therefrom, for the resolution of any dispute arising out of or in connection with these Terms.
We may update these Terms from time to time. We will provide at least 30 days prior notice of material changes via email to the primary account holder and through an in-app notification. The updated Terms will be effective from the date specified in the notice.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and terminate your account.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
